In order to gain access to any secure
portion of the Magnetek Material Handling ("Magnetek") pricing
web site (the "Extranet") you, the "User/Company", as that term
is defined below, hereby expressly acknowledges and agrees to
the following.
OBJECT:
To provide User/Company with guidelines for the use of the
Extranet and resources included in the Magnetek Material
Handling Extranet site as defined below.
RIGHT TO USE:
User/Company may only use the Extranet for business purposes to
assist in the sales and marketing of Magnetek products.
EXTRANET SECURITY:
User/Company will allow only Company employees approved in
advance by Magnetek ("Authorized Company Employees") to access
the secured parts of the Extranet. User/Company shall be solely
responsible for ensuring that Authorized Company Employees are
not security risks.
User/Company will promptly notify Magnetek whenever any
Authorized Company Employee leaves Company's employ or no longer
requires access to the Extranet.
User/Company will be solely responsible for the selection,
implementation, and maintenance of security procedures and
policies that are sufficient to ensure that (a) such party's use
of the secured parts of the Extranet is secure and is used only
for authorized purposes, and Magnetek's documents, reports, or
other materials in the secured part of the Extranet are
protected against improper access, use, dissemination,
alteration or destruction.
